Statutes of Science on Stage Switzerland

Art. 1 Definition

Under the name of Science on Stage Switzerland is an ideal-goal association constituted pursuant the articles 60 and following of the Swiss civil code. The duration of this association is unlimited and its headquarters are in Bern.

Art. 2 Goals

The goals of Science on Stage Switzerland are the organization of a national Science on Stage Switzerland competition, the participation in activities of Science on Stage Europe, and the promotion of science teaching.

Art. 3 Affiliation

Science on Stage Switzerland is a member of Science on Stage Europe.

Art. 4 Means

1 To achieve its goal, Science on Stage Switzerland finds his own funding from third parties.

2 The annual membership fee is determined by the general assembly.

Art. 5 Organization

The deliberative bodies of Science on Stage Switzerland are the general assembly, the committee and the auditor.

Art. 6 General assembly

1 The general assembly is composed by the members of Science on Stage Switzerland.

2 The ordinary general assembly is convened annually by personal e-mail invitation to the members at least ten days before the date of the assembly. It is also convened in extraordinary session, whenever the committee considers it is appropriate or when a fifth of the members makes a request.

Art. 7 Duties of the general assembly

The general assembly has the duties to:
- approve the minutes of the previous assembly
- elect the committee
- discharge the competent bodies
- modify the statutes
- admit the new members and eventually revoke members
- take a position on an issue considered important by the committee

Art. 8 Committee

1 The committee is composed of about 10 members, including a chairman, a secretary and a treasurer.

2 The committee constitutes itself.

Art. 9 Duties of the committee

1 It manages the affairs of Science on Stage Switzerland

2 It performs all the tasks that are not specifically reserved to the general assembly, including:
- organizing the Science on Stage Switzerland competition, which takes place every two years
- dealing contacts with Science on Stage Europe
- selecting and managing candidates who will participate in the various activities organized by Science on Stage Europe
- convening and organizing the general assembly

3 Every committee members ensured transparency by
- informing the president and the secretary about ongoing projects and initiatives
- not taking any actions with financial consequences without consulting the committee in the decision.

Art. 10 Committee meetings

1 The committee meets as often as necessary, but at least three times a year.

2 The secretary keeps minutes of every meeting.

Art. 11 Annual report

The chairman submits an activities report at the ordinary general assembly of Science on Stage Switzerland.

Art. 12 Auditor

The chairman of Science on Stage Switzerland designates an auditor.

Art. 13 Financial year

The financial year runs from January 1st to December 31st.

Art. 14 Members

1 Anyone who pays the annual fee is a member.

2 Committee members and candidates selected for an activity of Science on Stage Europe are exempt from annual fee for the current year.

Art. 15 Dissolution

The dissolution of Science on Stage Switzerland may be decided by an extraordinary general assembly convened solely for this purpose, at least 30 days in advance by e-mail, at the request of the committee or two thirds of the members. The dissolution is decided by a majority of three fourths of the members present.
